1. General Agreement
These Terms of Trade govern all international and domestic sales of goods by Bhakti Decor ('Seller', 'We', 'Our') to the purchasing entity ('Buyer', 'Client'). By issuing a Purchase Order (PO) or transferring an initial deposit, the Buyer implicitly agrees to these terms. These terms supersede any prior agreements or standard purchasing terms provided by the Buyer unless explicitly amended in writing by a Director of Bhakti Decor.
2. Minimum Order Quantity (MOQ)
As a high-volume manufacturing facility, we strictly adhere to minimum production thresholds. For standard catalog SKUs, the MOQ is 10,000 units per colorway. For bespoke or OEM designs requiring custom tooling, CAD development, and unique material sourcing, the MOQ is 50,000 units. Sample runs are exempt from MOQ but are subject to premium prototyping fees.
3. Financial & Payment Terms
To initiate mass production, a 50% non-refundable deposit via Telegraphic Transfer (T/T) is required. The remaining 50% balance must be cleared upon the presentation of the digital Bill of Lading (B/L) copy. Original shipping documents (or Telex Release) will only be surrendered once the final balance is confirmed in our corporate accounts. We do not accept open account terms for new international buyers.
4. Production & Lead Times
Standard lead times range from 14 to 21 days for catalog items, and 30 to 45 days for bespoke OEM runs, calculated from the date the 50% deposit clears. Lead times are estimates and subject to force majeure events, raw material shortages, or port congestion. Physical pre-production samples (PPS) will be air-freighted within 7-10 days of CAD approval.
5. Freight, Logistics & Risk of Loss
Our standard Incoterms are FOB (Free On Board) Mumbai / Mundra Port. Risk of loss or damage transfers to the Buyer once the goods pass the ship's rail at the named port of shipment. We also offer DDP (Delivered Duty Paid) services for US, EU, and UAE clients via our logistics network. For DDP, risk transfers upon delivery to the named destination facility.
6. Quality Assurance & Claims
All goods are manufactured under strict ISO-grade quality controls using 120 GSM Bio-Paper (unless otherwise specified). Any claims regarding defect, shortage, or non-conformity must be submitted in writing within 14 days of container arrival at the destination port. Claims must include photographic evidence and the specific technical SKU. Bhakti Decor reserves the right to issue credit notes or replacement units at our discretion.
7. Governing Law & Jurisdiction
This agreement, and any dispute arising from the commercial relationship between Bhakti Decor and the Buyer, shall be governed strictly by the laws of India. Both parties agree to submit to the exclusive jurisdiction of the commercial courts located in Surat, Gujarat, India.
